Consultation and Installation Agreements

This document is an addendum to the Statement of Work contract for Installation and Consultation customers. All policies apply from the Statement of Work in addition to this addendum. We reserve the right to update, change, modify, add or remove any and all aspects of this agreement at any time.

DEFINITIONS

  • The Shepherd Network will be referred to as “TSN” and the recipient of our work or services will be referred to as “CLIENT”.

  • CLIENT agrees to all sections of this agreement upon any or all of a) the receipt of a quote, b) the receipt of an invoice from TSN or c) a formalized contract.

  • ‘Consult’ or ‘Consultation’ is defined as any estimate, recommendation or otherwise advice on any physical or digital services to be installed, managed, improved, or otherwise maintained by TSN for CLIENT.

  • ‘Install’ or ‘Installation’ is defined as work done by TSN to add or otherwise introduce new elements in a system at the physical location, permanent or temporary, of CLIENT.

SECTION 1: CONSULTATION

Section 1A - Commitment

TSN commits to finding the best solution for CLIENT within the confines of predetermined budget and other parameters defined by CLIENT. We will not purchase or otherwise spend money on behalf of CLIENT without clear and written consent by CLIENT.

Section 1B - Non-compete

CLIENT will not share detailed information provided by a TSN consultation with TSN proprietary data on the consult documents to a competitor. CLIENT may share final total with a competitor, but may not share hourly rates, materials costs, vendor information, or other details aside from the final quoted total.

SECTION 2: INSTALLATION

Section 2A - Time and Billing

All quotes, time, and work are based on the original project data. Our time starts upon arrival to the job site. This is considered the project start.

We bill for one-way travel to your location, if within 45 minutes of the TSN office. Anything more than 45 minutes one-way will be billed full hourly rate for one direction, and half hourly rate for return.

We use standard time rounding rules for our work. 


-When a contract is based on an hourly rate, we round up to the nearest quarter hour. 

-When a contract is based on production time, we round up to the nearest quarter hour.

-When a contract is based on words, we round up to the nearest 5000 word mark.

All of these rules are subject to change anytime, or may be negotiated ahead of any contract. Once work is started on a contract, they will not be changed.

Section 2B - Payments and Invoicing

Payment for work is due within fourteen (14) days of project completion. Late payments are subject to Section 4 of our Statement of Work agreement.

Other payment arrangements may be made before project work is started.

Section 2C - Project Deadlines

The deadline for scheduling project work is seven (7) days prior to work start.

Deadlines for work completion, whether in part or in full, are negotiated and agreed upon before work is started. Any change to deadlines after work has started on a contract is subject to a 15% surcharge of the original quote amount. This surcharge is non-negotiable.

Section 2D - Equipment Use

Use of TSN hardware or software is included in our quotes, unless otherwise specified.
