Media Production Addendum

This document is an addendum to the Statement of Work contract for Media Production customers. All policies apply from the Statement of Work in addition to this addendum. We reserve the right to update, change, modify, add or remove any and all aspects of this agreement at any time.

DEFINITIONS

  • The Shepherd Network will be referred to as “TSN” and the recipient of our work or services will be referred to as “CLIENT”.

  • CLIENT is responsible for all sections of this contract upon either a) the receipt of an invoice from TSN or b) a formalized version of this contract.

  • ‘Media’ is defined as file types that are photo, video, music, or the associated files from editing software for these file types.

  • ‘Production’ is defined as any work, whether that be recording, editing, or otherwise, physically done in studio, on-site, or otherwise modifying and manipulating anything as defined by ‘media’ above.

  • ‘Work Start’ is defined as any work done on a project. This includes but not limited to: planning, recording, editing, building, travel to work site, etc.

SECTION 1: SECURITY AND PRIVACY COMMITMENTS

Section 1A - Data Privacy

The data CLIENT chooses to send for production based on contract to TSN servers or cloud platforms is completely private. TSN support agents and engineers will not and do not access CLIENT data unless explicitly requested to access that data in order to fulfill a work request from CLIENT.

Section 1B - Data Security

We are committed to ensuring that your information is secure. In order to prevent unauthorized access or disclosure we have put in place industry standard data protection protocols. This includes physical security, data encryption, and internal personnel guidelines to ensure the security of the CLIENT information stored on TSN server or cloud platforms.

Section 1C - Data Extermination

We reserve the right to immediately terminate contracts and permanently remove CLIENT data in the event there is data outside of the agreement terms that is backed up to or stored on TSN servers or cloud solutions. If that data is deemed illegal, immoral, or otherwise distasteful, it will be reported and turned over to law enforcement without hesitation.

SECTION 2: PRODUCTION RATE DETAILS

Section 2A - Time Rates

All quotes, time, and work are based on the original project data.

We use standard time rounding rules for our work.
-When a contract is based on an hourly rate, we round up to the nearest half hour.
-When a contract is based on production time, we round up to the nearest half hour.
-When a contract is based on words, we round up to the nearest 5000 word mark.

All of these terms are subject to change anytime, or may be negotiated ahead of any contract. Once work is started on a contract, they will not be changed.

Section 2B - Payments and Invoicing

A 25% initial payment based on the signed quote is due upon the start of a project, with the remaining balance is due within two (2) weeks of final delivery. Late payments are subject to Section 4 of our Statement of Work agreement. 

Section 2C - Production

Details regarding deadlines, distribution, or any other aspect of our services are negotiated and agreed upon before work is started. Any change after work has started on a contract is subject to a 15% surcharge of the original quote amount. This surcharge is non-negotiable.

Section 2D - Equipment Use

Use of TSN hardware and/or software is included in our quotes, unless otherwise specified.

SECTION 3: VOICEOVER WORK

Section 3A - Performance Mistakes

Mispronunciations or missing words are corrected at no charge.

Section 3B - Artistic Edits

One round of feedback regarding the pace or tone is included. If more is required, we will negotiate a reasonable fee based on the amount of edits.

Section 3C - Script Rewrites

One round of rewrites that are less than 5% of the final script, is included. If more is required, we will negotiate a reasonable fee based on the amount of edits.

Section 3D - Final Delivery

TSN will deliver final, maximum quality or specified quality file(s) to CLIENT on or before the agreed deadline. TSN is not responsible for posting, sharing, or otherwise distributing the final works unless previously negotiated.

SECTION 4: MEDIA RIGHTS

Section 4A - Performed Materials

TSN reserves non-commercial rights to materials where a performance is required. We will use these materials for internal development or work demos only. No commercial or royalty-based compensation will be earned from performed materials outside of what has already been agreed.

Section 4B - Produced Materials

TSN reserves non-commercial rights to materials where media production is required. We will use these materials for internal development or work demos only. No commercial or royalty-based compensation will be earned from produced materials outside of what has already been agreed.
